These Terms of Service ("Terms") govern access to and use of the website and services offered by S.I. Neptune LLC, a limited liability company registered in the Commonwealth of Massachusetts, with a registered office at 100 River Ridge Drive, Suite 205, Norwood, MA 02062, USA ("S.I. Neptune," "we," "us," or "our"). By accessing our website or engaging our services, you ("Client") agree to be bound by these Terms.
1. Description of Services
S.I. Neptune LLC provides freight forwarding, customs brokerage coordination, warehousing, distribution, and related logistics services on behalf of clients shipping goods domestically and internationally. Specific services, rates, and timelines for a given shipment will be set out in a separate service order, quote, or agreement between S.I. Neptune LLC and the Client.
2. Eligibility and Client Responsibilities
The Client represents that it has the legal authority to tender the cargo described in any shipment for forwarding and that all information provided — including cargo descriptions, values, weights, and documentation — is accurate and complete. The Client is responsible for ensuring that goods tendered for shipment comply with all applicable U.S. and international import/export laws, including export control and sanctions regulations administered by the U.S. Department of Commerce and the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
3. Role as Forwarder, Not Carrier
Unless expressly agreed in writing, S.I. Neptune LLC acts as a freight forwarder and logistics coordinator, arranging services with third-party ocean carriers, air carriers, customs brokers, and warehouse operators. S.I. Neptune LLC is not the underlying carrier of goods and does not assume carrier liability except where it acts in that capacity under a specific written agreement.
4. Fees and Payment
Fees for services are set out in the applicable quote or service order. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. Late payments may accrue interest at the maximum rate permitted under Massachusetts law. S.I. Neptune LLC reserves the right to place a lien on cargo in its possession for unpaid fees, consistent with applicable law and standard industry practice.
5. Limitation of Liability
To the maximum extent permitted by law, S.I. Neptune LLC's liability for any claim arising from its services is limited to the fees paid by the Client for the specific shipment giving rise to the claim. S.I. Neptune LLC is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, except where such limitation is prohibited by applicable law. Nothing in these Terms limits liability for gross negligence or willful misconduct.
6. Cargo Claims and Insurance
Claims for loss or damage to cargo must be submitted in writing within nine (9) months of delivery, or such shorter period as required by an applicable carrier's terms or international convention (such as the Carriage of Goods by Sea Act, where applicable). S.I. Neptune LLC does not automatically insure cargo; the Client is responsible for arranging cargo insurance unless otherwise agreed in writing.
7. Customs and Regulatory Compliance
Where S.I. Neptune LLC coordinates customs clearance on the Client's behalf, the Client remains the importer or exporter of record and bears ultimate legal responsibility for the accuracy of declared values, tariff classifications, and country-of-origin information, in accordance with 19 U.S.C. § 1484 and related U.S. Customs and Border Protection regulations.
8. Force Majeure
S.I. Neptune LLC is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including port congestion, labor disputes, extreme weather, government action, or other events commonly recognized as force majeure in the logistics industry.
9. Termination
Either party may terminate an ongoing service arrangement with written notice, subject to the completion of any shipments already in transit and settlement of outstanding fees.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Norfolk County, Massachusetts, unless the parties agree in writing to alternative dispute resolution.
11. Amendments
S.I. Neptune LLC may update these Terms from time to time. Material changes will be reflected in the "Last Updated" date above. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
